  • Maintenance and technical support

  • Related business machine solutions

All services are subject to formal quotation, technical specifications, and written agreement where applicable.

3. Quotations and Orders

  1. All quotations are valid for the period stated on the quotation document.

  2. Pricing may be adjusted if project scope, site conditions, or technical requirements differ from the initial assessment.

  3. Orders are confirmed only upon:

    • Written acceptance of quotation, and

    • Receipt of agreed deposit or full payment (as specified).

The Company reserves the right to decline or cancel orders at its discretion prior to confirmation.

4. Payment Terms

  1. Payment terms (deposit, milestone payments, or full upfront payment) will be stated in the quotation or contract.

  2. Late payments may attract additional charges or suspension of services.

  3. Ownership of supplied equipment remains with the Company until full payment is received.

5. Installation and Delivery

  1. Delivery timelines are estimates and may be affected by logistics, import processes, or force majeure events.

  2. The Client is responsible for providing suitable site access, electrical readiness, and civil works (where required).

  3. Any delays caused by site unpreparedness may result in additional charges.

6. Warranty

  1. Products supplied by the Company carry a warranty period as specified in the quotation or agreement (e.g., 1–3 years).

  2. Warranty covers manufacturing defects under normal operational conditions.

  3. Warranty does not cover:

    • Misuse or vandalism

    • Unauthorized modification

    • Power surges or environmental damage

    • Improper maintenance

Warranty claims must be submitted in writing.

7. Maintenance and Support

Where maintenance agreements are signed:

  • Services will be delivered according to the agreed schedule.

  • Emergency support availability will be defined in the service contract.

  • Replacement parts not covered under warranty will be billed separately.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Company shall not be liable for indirect, incidental, or consequential damages.

  • Liability shall not exceed the total amount paid for the specific product or service giving rise to the claim.

  • The Company does not guarantee prevention of all security breaches but provides systems designed to reduce risk.

9. Intellectual Property

All designs, system configurations, engineering documentation, and proprietary technology remain the intellectual property of Hillarich Business Machines Ltd unless otherwise agreed in writing.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary, commercial, and technical information shared during project execution.

11. Termination

The Company reserves the right to terminate services in cases of:

  • Non-payment

  • Breach of contract

  • Misuse of equipment

  • Violation of applicable laws

Termination does not relieve the Client of outstanding financial obligations.

12. Force Majeure

The Company shall not be held liable for delays or failure to perform resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, import restrictions, supply chain disruptions, or labor disputes.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Nigeria.

Any disputes shall be resolved through negotiation, mediation, or competent court jurisdiction within the applicable region.

14. Amendments

Hillarich Business Machines Ltd reserves the right to modify these Terms at any time. Updated versions will be published on the official website.

Continued use of services constitutes acceptance of revised Terms.
